We are seeking a highly skilled and detail-oriented Senior Transaction Specialist to join our Legal team. The ideal candidate will have strong experience in handling complex commercial transactions, contract negotiation, and legal due diligence. This role involves working closely with internal stakeholders and external parties to facilitate and execute a broad range of transactional matters, ensuring compliance with applicable laws and protecting the company's interests.
Key Responsibilities:
Draft, review, and negotiate a wide range of transactional documents including purchase agreements, joint venture agreements, financing documents and NDAs.
Advise on corporate structuring, deal strategy and risk assessment.
Conduct legal due diligence and manage regulatory and compliance aspects of transactions.
Liaise with internal teams (finance, business development, operations) to provide legal input on proposed deals.
Manage outside counsel and coordinate with local legal advisors on cross-border matters.
Ensure that transactions are executed in compliance with applicable laws, regulations and internal policies.
Provide legal support throughout the entire transaction lifecycle, from inception to post-closing.
Maintain up-to-date knowledge of relevant legal developments and best practices.
Bachelor of law degree.
Licensed to practice law in Vietnam.
At least 3-5 years of experience as a transactional attorney in a law firm or in-house legal team.
Strong experience with commercial transactions, M&A, corporate finance, or related areas.
Excellent drafting, negotiation, and communication skills.
Detail-oriented with strong analytical and problem-solving abilities.
Ability to manage multiple priorities in a fast-paced environment.
Preferred Qualifications:
Experience in cross-border transactions or international deal work.
Background in technology industry.
Familiarity with data privacy, or regulatory matters a plus.
